ANTARES VISION SPA: MERGER BY INCORPORATION OF A FULL COMPANY
CONVEL SRL APPROVED
Travagliato (BS), September 7, 2022 – As noted by the Board of Directors of Antares Vision SpA, Italian multinational, leading provider of Track & Trace and quality control systems, which guarantee the transparency of products and supply chains through integrated data management (Antares Vision or the Company) and that of its subsidiary Convel Srl (Convel), a company specializing in automated inspection in the pharmaceutical industry, approved the merger project for the incorporation of Convel into Antares Vision (the Merger) on June 20, 2022, in accordance with art. . 2505, section two of the Italian civil code, registered in the Commercial Registries of Brescia and Vicenza on June 21, 2022 and June 24, 2022 respectively.
We now inform that, on today’s date, the Antares Vision Board of Directors, through an agreement made public, and the General Shareholders’ Meeting of Convel, approved the Merger in the terms provided in the aforementioned proposal.
As has already been mentioned, the Merger operation was born from Antares Vision’s need to encompass the activities that Convel currently carries out independently (and that are already covered by the corporate purpose of Antares Vision and are carried out by it), with the consequent simplification of the group led by the Company.
In accordance with the right granted under article 2504-bis, paragraph two, of the Italian civil code, the Merger will take effect from January 1, 2023. As of such date, Antares Vision will assume all active legal relationships and passives belonging to Convel. No particular benefits are foreseen for the administrators of the companies participating in the Merger.
The merger deed is expected to be signed in the second half of November 2022.
The minutes of the Merger agreements adopted by the Board of Directors of the Company and by the Shareholders’ Meeting of Convel will be deposited for registration in the competent offices of the Mercantile Registries of Brescia and Vicenza, respectively, and will be made available to the public, in accordance with the terms and procedures provided for by law and regulations, at the registered offices of Antares Vision and Convel, on the Antares Vision website (www.antaresvision.comInvestors section) -where all the documentation related to the Merger is available- and in the authorized storage mechanism “1Info” at www.1info.it.
